1. Acceptance of Terms

By accessing or using Stone Insights ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Stone Insights is a B2B pricing intelligence platform for diamond professionals. The Service provides diamond price recommendations, market analytics, trend data, and bucket management tools. Features available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

Accounts are for individual use within your organization. Sharing login credentials between multiple individuals is not permitted unless your plan explicitly allows multiple seats.

4. Subscription & Billing

The Service is offered under various subscription plans. By selecting a paid plan, you agree to pay the applicable fees as described at the time of purchase.

• Billing cycle: Subscriptions are billed monthly or annually, depending on your chosen plan.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Price changes: We may adjust pricing with at least 30 days' notice before your next billing cycle.
• Refunds: Fees are non-refundable except where required by law. You may cancel your subscription at any time, and access will continue until the end of the current billing period.

Payment processing is handled by Stripe. By providing payment information, you agree to Stripe's terms of service.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Reverse engineer, decompile, or attempt to extract the source code or algorithms of the Service
• Scrape, crawl, or use automated means to access the Service beyond the provided API
• Redistribute, resell, or sublicense pricing data or analytics obtained through the Service without prior written consent
• Attempt to gain unauthorized access to other users' accounts or our infrastructure
• Interfere with or disrupt the integrity or performance of the Service

Violation of these terms may result in immediate suspension or termination of your account.

6. Intellectual Property

The Service, including its design, features, pricing models, algorithms, and content, is owned by Stone Insights and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You retain ownership of any data you submit to the Service. By submitting data, you grant us a license to use it for providing and improving the Service, including aggregate and anonymized analytics.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Price recommendations and market analytics are provided for informational purposes only and should not be the sole basis for business decisions. We do not guarantee the accuracy, completeness, or timeliness of any pricing data or recommendations.

8. Limitation of Liability

To the maximum extent permitted by law, Stone Insights shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any pricing decisions made based on our recommendations or data
• Unauthorized access to or alteration of your data
• Any third-party conduct on the Service

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or for legitimate business purposes.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
